Please review these Terms and Conditions ("Terms," "T&Cs") carefully. By accessing and using the Credit River AI website (the "Website"), submitting a consultation request via the contact form, or consuming any content, you agree to be bound by these Terms, the Privacy Policy, and the Disclaimer.

1. General Agreement

1.1. Acceptance: By using the Website, you represent that you have read, understood, and agree to be bound by these Terms.

1.2. Nature of Business: Credit River AI provides business-to-business (B2B) consulting and training services specializing in Artificial Intelligence (AI) strategy and business process optimization.

1.3. Formal Engagements: All paid consulting engagements, project work, and detailed training services are governed exclusively by a separate, signed Master Services Agreement (MSA) or Statement of Work (SOW). The terms of any such signed agreement shall supersede these Website T&Cs regarding the specific scope of work, fees, and deliverables.

2. Intellectual Property and Content Ownership

2.1. Ownership: All content, graphics, logos, text, articles, case studies, videos, training methodologies, models, and documentation ("Content") displayed on the Website are the exclusive property of Credit River AI and are protected by Canadian and international copyright and intellectual property laws.

2.2. Limited License: You are granted a non-exclusive, non-transferable, revocable license to access and view the Content solely for personal, non-commercial use (i.e., researching our services for potential business engagement).

2.3. Prohibited Use: You may not copy, reproduce, distribute, republish, sell, license, scrape, or create derivative works from any Content, including our training methodologies or models, without our express prior written permission. Any unauthorized use of the Content is a breach of these Terms and may violate copyright law.

3. Website Use and Conduct

3.1. Prohibited Activity: You agree not to use the Website to engage in any unlawful activity, including: a) Transmitting any unsolicited advertising or "spam." b) Attempting to interfere with the security or functionality of the Website. c) Copying, monitoring, or extracting any data, content, or PII from the Website via automated means (e.g., spiders, robots, screen scraping).

3.2. Termination: Credit River AI reserves the right to terminate or suspend your access to the Website for any violation of these Terms without prior notice.

4. Consultations and Payment

4.1. Consultation Requests: Submitting the "Contact Us" form constitutes a request for preliminary information and a potential consultation; it does not create a binding contract for services.

4.2. Pricing and Fees: All specific fees, pricing, payment terms, and cancellation policies for booked consultations or training seminars will be provided in a personalized written Proposal, SOW, or Invoice. These written documents will govern the financial terms of the engagement.

5. Limitation of Liability and Indemnification

5.1. General Disclaimer: Your use of the Website is at your sole risk. The Website is provided on an "AS IS" and "AS AVAILABLE" basis.

5.2. Liability Cap: To the maximum extent permitted by applicable law, Credit River AI shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, use, goodwill, or other intangible losses, resulting from: (i) your access to or use of, or inability to access or use, the Website; (ii) any conduct or content of any third party on the Website; or (iii) any unauthorized access, use, or alteration of your data.

6. Governing Law and Jurisdiction

6.1. Governing Law: These Terms shall be governed and construed in accordance with the laws of the Province of Ontario, Canada, and the federal laws of Canada applicable therein, without regard to its conflict of law provisions.

6.2. Jurisdiction: You agree to submit to the exclusive jurisdiction of the courts located in Toronto, Ontario, for the resolution of any disputes arising out of these Terms.

7. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. We will provide notice of any material changes by updating the "Last Updated" date at the top of these Terms. Your continued use of the Website after any such changes constitutes your acceptance of the new Terms.
